Important: Please read these terms carefully before using our service. By accessing or using Chazi, you agree to be bound by these terms. If you do not agree with any part of these Terms, you must not use the Service.
1 Introduction
Welcome to Chazi ("we" or "our"). These Terms and Conditions govern your access to and use of the Chazi mobile application and related services (collectively, the "Service"). By downloading, installing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. Chazi is a technology tool that lets you create catalogs, manage inventory, and connect with other users; we do not take part in the transactions you carry out through it.
2 Definitions
"Application" refers to the Chazi mobile application available on iOS and Android platforms.
"User" refers to any individual who accesses or uses the Service.
"Catalog" refers to a digital collection of products created by a User within the Application.
"Content" refers to all text, images, product information, and other materials uploaded or created by Users.
"Service" refers to all features, functionality, and services provided through the Application.
"Marketplace" refers to the features that allow Users to discover, showcase, and contact other Users, suppliers, or buyers within the Application.
"Supplier" refers to a User who offers products, supplies, or services to other Users through the Marketplace features.
"Buyer" refers to any person who purchases or expresses interest in products offered by a User, whether inside or outside the Application.
3 Eligibility
You must be at least 18 years old or the age of legal majority in your jurisdiction to use this Service. If you are under 18, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Service, you represent and warrant that you meet these eligibility requirements and have full legal capacity to enter into this agreement.
4 Account Registration and Security
To access certain features of the Service, you must create an account. By registering, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate and complete
- Maintain the security of your password and accept all risks of unauthorized access to your account
- Notify us immediately if you discover or suspect any security breach or unauthorized use of your account
- Be solely responsible for all activities that occur under your account
5 License and Usage Rights
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to download, install, and use the Application on mobile devices that you own or control, solely for your personal or internal business purposes.
You may not:
- Copy, modify, or distribute the Application or any Service content
- Reverse engineer, decompile, or disassemble the Application
- Rent, lease, lend, sell, or sublicense the Application
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorized access to the Service or its related systems
- Use bots, scrapers, or automated means to access, extract, or harvest data from the Service or other Users
- Impersonate any person or entity, or misrepresent your affiliation with a person or entity
6 Nature of the Service and Platform Role
Chazi is solely a provider of technology tools and a point of contact that helps Users create catalogs and connect with one another. Chazi is NOT a seller, buyer, supplier, commercial intermediary, agent, broker, or party to any transaction carried out between Users or between a User and their Buyers or Suppliers.
Accordingly, you acknowledge and agree that:
- All negotiations, agreements, payments, deliveries, warranties, invoicing, returns, and claims occur exclusively between the Users involved, outside Chazi's control
- Chazi does not process payments, hold funds, ship products, or verify the identity, solvency, background, or legitimacy of any User, Supplier, or Buyer
- Chazi does not guarantee the quality, safety, legality, existence, price accuracy, or availability of products or services listed by Users
- Any dispute, loss, damage, or conflict arising from a transaction is the sole responsibility of the parties involved, who release Chazi from all liability in this regard
- The availability of Marketplace, discovery, or contact features does not constitute an endorsement, recommendation, or guarantee of any User, Supplier, Buyer, or product
7 User Responsibilities and Legal Compliance
You are solely responsible for your use of the Service and for your commercial activity. In particular, you agree that it is your sole responsibility to:
- Comply with all laws, regulations, and obligations applicable to your business, including commercial registration, licenses, and permits
- Declare and pay all taxes, fees, and charges arising from your sales and commercial activity
- Ensure that the products and services you offer are legal, authentic, safe, and accurately described (price, condition, availability, and features)
- Comply with consumer protection, warranty, labeling, invoicing, and return laws toward your Buyers
- Honor the commitments, prices, and conditions you offer to your Buyers and directly resolve any claims
- Obtain all rights, licenses, and permissions necessary for the Content you publish, including images, trademarks, and text
Chazi assumes no responsibility for any failure by Users to comply with these obligations.
8 User Content
You retain all ownership rights to the content you upload to the Service. However, by uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, store, and display such content solely for the purpose of providing, operating, and improving the Service.
You are solely responsible for all content you upload, including ensuring that you have the necessary rights to share such content and that it does not infringe the rights of third parties. You represent and warrant that your Content is truthful, not misleading, and compliant with these Terms and applicable law.
Prohibited Content
- Content that infringes the intellectual property rights of third parties
- Illegal, harmful, threatening, abusive, harassing, defamatory, or objectionable content
- Content containing malware, viruses, or other harmful code
- Spam, phishing attempts, or deceptive or fraudulent content
- Content that violates any applicable law or regulation
- False information, misleading prices, or product descriptions that mislead
9 Prohibited Products and Activities
You may not use the Service to list, promote, offer, or market, or to facilitate the sale or purchase of:
- Weapons, ammunition, explosives, or related restricted material
- Illegal drugs, controlled substances, unauthorized medicines, or related paraphernalia
- Counterfeit, pirated, stolen, or trademark- or copyright-infringing products
- Sexually explicit material, adult content, or sexual services
- Protected species, animals, or derived products whose trade is restricted
- Goods or services whose sale requires special licenses or authorizations you do not hold (alcohol, tobacco, financial products, etc.)
- Any illegal or fraudulent product, service, or activity, or one that promotes hate, violence, or discrimination
We reserve the right to remove any content and suspend accounts involved in these activities, without any liability to Chazi.
10 Third-Party Services, Payments, and External Links
The Service may display or integrate third-party services, links, payment methods, or contact channels (such as WhatsApp, social media, payment gateways, or maps). Chazi does not control and is not responsible for the content, policies, availability, or practices of such third parties. Any payment, communication, or transaction you carry out through a third-party service is governed by that third party's terms and is at your own risk. We recommend reviewing the terms and privacy policies of any third-party service you use.
11 Artificial Intelligence Features
The Service may offer AI-assisted features, such as image analysis or product information suggestions. These features are provided for support purposes only and may produce inaccurate, incomplete, or unexpected results. We do not guarantee the accuracy of AI-generated results, and you are solely responsible for reviewing, verifying, and correcting such information before using or publishing it.
12 Content Moderation and Reporting
Although we are not obligated to monitor Content, we reserve the right, at our sole discretion and without prior notice, to review, moderate, restrict, remove, or disable any Content or account that we believe violates these Terms, the law, or the rights of third parties, or that may be harmful to other Users or to Chazi. If you find Content you consider inappropriate, illegal, or infringing, you may report it to chazi.help@gmail.com and we will review it within a reasonable time.
13 Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Chazi and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
14 Service Availability
We strive to ensure the Service is available 24/7, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice and without liability to you. We are not responsible for any loss of data, sales, or opportunities resulting from the unavailability of the Service.

16 Assumption of Risk
You use the Service and engage in any interaction, negotiation, or transaction with other Users, Suppliers, or Buyers at your own risk. You are responsible for evaluating the suitability, identity, and reliability of the parties you interact with, and for taking reasonable precautions to protect yourself from fraud, scams, or misconduct. Chazi will not be liable for any damage, loss, or harm resulting from such interactions.
17 Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Chazi, its affiliates, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of (or inability to access or use) the Service; (b) any conduct or content of third parties or other Users; (c) any transaction, product, or service obtained through the Service; or (d) unauthorized access, use, or alteration of your content. In any case, our total cumulative liability shall not exceed the amount you have paid us, if any, in the twelve (12) months preceding the event giving rise to the claim, or fifty US dollars (USD 50), whichever is lower.
18 Indemnification
You agree to defend, indemnify, and hold harmless Chazi and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your Content, your products or transactions, your violation of these Terms, your breach of any applicable law, or your violation of any third-party rights.
19 Force Majeure
Chazi shall not be liable for any delay or failure to provide the Service resulting from causes beyond its reasonable control, including, among others, acts of God, natural disasters, telecommunications or internet/hosting provider failures, power outages, cyberattacks, government acts, labor disputes, pandemics, or any other force majeure event.
20 Termination
You may terminate your account at any time by deleting the Application and discontinuing use of the Service. You may also request deletion of your account by contacting our support team.
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms or if your use of the Service may cause legal risk or harm to Chazi or other Users.
Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
21 Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Chazi operates, without regard to its conflict of law provisions. You agree that any dispute arising under these Terms will be resolved before the competent courts of that jurisdiction. Before initiating any legal action, you agree to attempt to resolve the dispute in good faith by contacting us directly.
22 Modifications to the Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last updated" date at the top of these Terms and, where appropriate, provide additional notice through the Application or by email. Your continued use of the Service after any changes indicates your acceptance of the modified Terms.
23 Severability
If any provision of these Terms is held to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it will be severed from these Terms without affecting the validity and enforceability of the remaining provisions.
